1. Acceptance of Terms

By accessing or using the Intellicapital Advisors platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Intellicapital Advisors LLC ("Intellicapital," "we," "us," or "our"), a registered investment adviser.

2. Description of Services

Intellicapital Advisors provides investment advisory services through the Platform, including:

• Portfolio management and monitoring
• Financial planning and analysis tools
• Secure document storage and sharing
• Client-advisor communication features
• Market research and analysis
• Goal tracking and reporting

Important: Nothing on this Platform constitutes an offer to sell or a solicitation of an offer to buy any security. Investment decisions should be made in consultation with your assigned advisor.

3. User Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the legal capacity to enter into a binding agreement
• Be an existing client with a valid advisory agreement, or an authorized representative

4. Account Registration & Security

4.1 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• Enabling and maintaining multi-factor authentication (MFA) when required
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4.2 Multi-Factor Authentication

Certain account types require multi-factor authentication. You agree to comply with our security requirements as a condition of Platform access.

5. Prohibited Uses

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to any systems
• Interfere with or disrupt the Platform
• Use automated systems to access the Platform without permission
• Transmit viruses, malware, or other malicious code
• Impersonate any person or entity
• Share your account credentials with third parties
• Circumvent security measures

6. Intellectual Property

The Platform and its contents are owned by Intellicapital Advisors and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.

7. Privacy & Data Protection

Your use of the Platform is governed by our Privacy Policy. We are committed to protecting your information in accordance with GLBA, SEC Regulation S-P, and applicable state privacy laws.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, INTELLICAPITAL ADVISORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

10. Indemnification

You agree to indemnify and hold harmless Intellicapital Advisors from any claims, damages, or expenses arising from your violation of these Terms or use of the Platform.

11. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law provisions.

12. Dispute Resolution

Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, either party may initiate binding arbitration per American Arbitration Association rules.

Class Action Waiver: You agree that any proceedings shall be conducted on an individual basis only.

13. Changes to Terms

We may revise these Terms at our discretion. For material changes, we will provide at least 30 days' notice via email or Platform notification. Continued use after changes constitutes acceptance.

14. Termination

We may terminate or suspend your access without prior notice for any reason, including breach of these Terms. Upon termination, your right to use the Platform ceases immediately.
